Welcome to the AllyU website (the “Site”). AllyU Organization NFP, an Illinois not-for-profit corporation (“AllyU” or the “Company”), offers support, tools, resources, and volunteer opportunities for all individuals (the “User” or, collectively, “Users”) who want to improve their mental health. Our Mission (the “Mission”) is to help our community members bridge the gap between where you are now and where you want to be by connecting you to a village of positive and supportive people who understand these situations; who have been there, who are there, who can help you navigate through it. The services provided through the Site are subject to the notices, terms, and conditions set forth in this agreement (the “Agreement”). This Agreement sets forth legally binding terms and conditions for your use of the Site. AllyU reserves the right to amend the Site and the Agreement at any time.  ACCESSING, BROWSING, OR OTHERWISE USING THE SITE AUTOMATICALLY INDICATES YOUR AGREEMENT TO ALL OF THE FOLLOWING TERMS AND CONDITIONS IN THE AGREEMENT AND THE RELATED PRIVACY POLICY. THEREFORE, PLEASE READ THE AGREEMENT CAREFULLY BEFORE PROCEEDING. IF YOU DO NOT AGREE WITH ANY PART OF THE FOLLOWING TERMS AND CONDITIONS, DO NOT USE THE SITE.

  1. Limitation of Liability. You agree that you will hold harmless AllyU and its officers, directors, employees, and volunteers from all claims arising out of or related to your access or use of, or your inability to access or use, the Site or the information contained in the Site or other sites to which it is linked. You also agree that AllyU or the contributors of information to the Site shall NOT be liable to you or anyone else for any decision made or action taken by you in reliance on information provided on the Site or for any damages, even if advised of the possibility of such damages.

    • ALLYU HAS NO SPECIAL RELATIONSHIP OR FIDUCIARY DUTY TO YOU. ALLYU MAKES NO GUARANTEES OF ANY KIND, UNLESS EXPRESSLY STATED, INCLUDING BUT NOT LIMITED TO ANY GUARANTEE OF ACCURACY, COMPLETENESS, CURRENCY, OR RELIABILITY. INFORMATION ACCESSED THROUGH ALLYU IS NOT EXHAUSTIVE AND DOES NOT COVER ALL CONDITIONS OR THEIR MANAGEMENT OR TREATMENT. THE PURPOSE OF THIS SITE IS TO CONNECT INDIVIDUALS SO THEY MAY SHARE MENTAL HEALTH EXPERIENCES THROUGH THE SUBMISSION OF PERSONAL STORIES, DEVELOP MENTAL HEALTH ADVOCACY SKILLS THROUGH ACCESS TO A MENTAL HEALTH RESOURCE DIRECTORY, AND BUILD RELATIONSHIPS THROUGH A PEER-TO-PEER MENTORSHIP PROGRAM THAT WILL SUPPORT MENTAL WELLNESS GOALS.   5. Dating Services Disclaimer. You must be at least 18 years of age to be a User of the Dating Services on the Site. BY USING ALLYU’S DATING SERVICES, THE USER WARRANTS AND REPRESENTS THAT THE USER IS ARE AT LEAST 18 YEARS OLD, SINGLE OR SEPARATED FROM YOUR SPOUSE, NOT PROHIBITED BY LAW FROM USING OUR SERVICES, NOT HAVE BEEN CONVICTED OF OR PLED NO CONTEST TO A FELONY OR INDICTABLE OFFENSE (OR CRIME OF SIMILAR SEVERITY), A SEX CRIME, OR ANY CRIME INVOLVING VIOLENCE, NOT REQUIRED TO REGISTER AS A SEX OFFENDER WITH ANY STATE, FEDERAL OR LOCAL SEX OFFENDER REGISTRY, DO NOT HAVE MORE THAN ONE ACCOUNT ON OUR SERVICES, AND YOU HAVE NOT PREVIOUSLY BEEN REMOVED FROM OUR SERVICES BY US, UNLESS YOU HAVE OUR EXPRESS WRITTEN PERMISSION TO CREATE A NEW ACCOUNT.If at any time the User ceases to meet these requirements, you must immediately delete your account.
  6. Eligible Users. You must be at least 18 years of age to be a User of the Site unless you are between the ages of 13-17 years old and obtain parental consent. A child under 13 or between the ages of 13-17 years old without parental consent must not participate in this Site. BY USING THIS SITE, THE USER WARRANTS AND REPRESENTS THAT THE USER IS AT LEAST 18 YEARS OF AGE OR IS BETWEEN THE AGES OF 13-17 YEARS OLD AND HAS OBTAINED CONSENT FROM THE USER’S PARENT OR GUARDIAN. The Site is available to adults and teens in the United States and all other countries. Any misstatements and/or misrepresentations regarding the age, background, felonies, criminal offenses, experience and/or eligibility for employment in the jurisdiction of the United States or any other country of any User of this Site are not the responsibility of AllyU. If a parent or guardian becomes aware that his or her child has provided us with Personal Information without their consent, he or she should contact us at info@allyu.org. If AllyU becomes aware that a child under 13 years old or between the ages of 13-17 years old without parental consent has provided us with Personal Information, we will take steps to delete such information from our files. Separately, a child under 18 may request the deletion of information posted on our Site or Services, which may be accomplished through anonymization.
  7. Endorsements. Users understand that the opinions and recommendations included in the Site are not necessarily those of AllyU or endorsed by AllyU. References in the Site to specific products, processes, services, manufacturers, or other companies do not constitute an endorsement or recommendation by AllyU. The Site may provide links to other sites, which are not under the control of AllyU. THESE LINKS ARE INCLUDED AS ONLY AS A CONVENIENCE TO YOU. The links available on the Site are provided by third parties for a fee, and are to be used for informational purposes only. Much of the information on the Site may represent opinion or judgment or contain inadvertent technical oversights, factual inaccuracies, or typographical errors. AllyU has no obligation to, and does not in the normal course, monitor or control any information that is or becomes available through the Site. AllyU does not recommend or endorse any specific tests, physicians, therapists, products, procedures, or opinions that may be mentioned within the Site. Reliance on any information contained within the Site is solely at your own risk.
  8. Remedies. AllyU and its affiliates and employees shall not be liable to you for any punitive, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses (even if AllyU has been advised of the possibility of such damages) resulting from (a) the inability to use the AllyU resource(s); (b) the cost to find and use substitute resources; (c) unauthorized access to or alteration of your transmissions or data; or (d) any other matter relating to AllyU or the Site.
  9. Indemnification. You agree to indemnify, hold harmless, and defend with counsel of AllyU’s first choice, AllyU, its affiliates, and each of their employees, contractors, directors, suppliers, and representatives from all liabilities, claims, and expenses, including reasonable attorneys’ fees and other legal costs, that arise from or relate to any of the following (the “Claims”): (a) your use of, inability to use, or activities in connection with this Site; (b) any violation of this Agreement or any other terms, conditions or policies by you or through any account you may have with this Site, including the representations and warranties set forth in this Agreement; (c) any transaction you may enter into through this Site; (d) any allegation that any Submission or other materials that you make available through this Site infringes or otherwise violates the intellectual property, privacy, or other rights of any third party; or (e) your violation of any rights of any other Site visitor, User, or customer, or any other third-party; and you will reimburse AllyU on demand for any damages, losses, costs, judgments, fees, fines and other expenses they incur (including attorneys’ fees and court costs) as a result of any Claim(s). This defense and indemnification obligation will survive the termination of this Agreement and will exist in perpetuity, regardless of whether you later cease using the Site.
  10. Information Collection, Use, and Disclosure. As indicated in our related Privacy Policy, we reserve the right to disclose your personal information as required by law. Your correspondence with AllyU and its members does not constitute an attorney-client relationship, a therapist-patient relationship, or create a confidential relationship between you and us. Those types of relationships should be sought through a professional attorney, doctor, or therapist. The Site has links to many federal agencies and private organizations. If you access another site through a link we provide, you are subject to the privacy policy of the new site.
  11. Intellectual Property. AllyU and its members respect intellectual property. Material available on or through other websites may be protected by copyright and the intellectual property laws of the United States and/or other countries. The terms of use of those websites, and not the terms of use for AllyU, govern your use of material on those websites. In accordance with the Digital Millennium Copyright Act, AllyU may, at its sole discretion, disable and/or terminate the accounts of members who infringe on our or others’ copyrights or other intellectual property rights.
  12. Notice for Claims of Intellectual Property Violations. If you believe that your material has been copied in an unlawful way or that your intellectual property rights have been otherwise infringed, please provide AllyU with the following information:
    • Your address, telephone number, and e-mail address;
    • The signature of the person authorized to act on behalf of the owner of the copyright or other intellectual property interest;
    • A description of the copyrighted work or other intellectual property that you claim has been infringed;
    • A description of where the material that you claim is infringing is located on the Site, with enough detail that we may find it on the Site;
    • A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright or intellectual property owner, its agent, or the law;
    • A statement by you, made under penalty of perjury, that the above information in your Notice for Claim is accurate and that you are the copyright or intellectual property owner or authorized to act on behalf of the copyright or intellectual property owner’s behalf.Notice of claims of copyright or other intellectual property infringement should be sent by e-mail to info@allyu.org:
  13. Member Conduct and Prohibited Content. AllyU does not tolerate prohibited content or misconduct on our Site as we are committed to maintaining a positive and respectful community. We encourage Users to report any prohibited content or misconduct by other users. You can report a User by emailing info@allyu.org. Content is subject to the terms and conditions of Sections 512(c) and/or 512(d) of the Digital Millennium Copyright Act 1998. You agree not to use the Site to:
    • upload, post, e-mail, transmit, or otherwise make available any content that is unlawful, threatening, abusive, harassing, defamatory, libelous, obscene, pornographic, violent or otherwise may offend human dignity, invasive of another’s privacy, hateful, racially or ethnically motivated, relating to commercial activities (including, without limitation, sales, competitions, promotions, and advertising, solicitation for services, relationships, links to other websites or premium line telephone numbers) or based on gender, sexual orientation, national origin, religious views, or disability; or otherwise objectionable;
    • harm minors or other persons in any way;
    • impersonate any person or entity or falsely represent your affiliation with a person or entity;
    • upload, post, e-mail, transmit, or otherwise make available any Content to which you do not have legal rights, or that infringes any patent, trademark, trade secret, copyright or other proprietary rights (“Intellectual Property Rights”) of any party;
    • upload, post, e-mail, transmit, or otherwise make available any unsolicited or unauthorized advertising, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other form of solicitation;
    • “stalk” or otherwise harass another;
    • upload, post, e-mail, transmit, or otherwise make available any material that contains software viruses, or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
    • interfere with or disrupt the Site/servers/networks connected to the Site, or disobey any requirements, procedures, or policies of networks connected to AllyU;
    • violate any applicable local, state, national or international law;
    • provide material support or resources (or to conceal or disguise the nature, location, source, or ownership of material support or resources) to any organization(s) designated by the United States government as a foreign terrorist organization pursuant to section 219 of the Immigration and Nationality Act;
    • and/or collect or store personal data about other users in connection with the prohibited conduct and activities set forth above.You acknowledge that AllyU and its representatives shall have the right (but not the obligation) and sole discretion to pre-screen, refuse, edit, or remove without notice of any kind any Content that is available via the Site and that is considered objectionable. Any unauthorized reproduction, publication, further distribution, or public exhibition of the materials provided on the Site, in whole or in part, is strictly prohibited.
  14. Permission to Use. If you are seeking permission to use trademarks, logos, service marks, slogans, copyrighted designs, or other brand features, please contact info@allyu.org. Use of trademarks, logos, service marks, slogans, copyrighted designs, or other brand features is not be allowed unless written consent is given by AllyU.
  15. Discussion Groups Policy.
    1. AllyU provides the Site and associated bulletin boards for the benefit of its members and the public. AllyU cannot and does not review all information from or communications by Users on the bulletin boards or any other platform for communication and collaboration between Users on the Site. ALLYU EXPRESSLY DISCLAIMS RESPONSIBILITY FOR, AND LIABILITIES RESULTING FROM, ANY INFORMATION OR COMMUNICATIONS FROM AND BETWEEN USERS OF THE ALLYU BULLETIN BOARD OR ANY OTHER PLATFORM FOR COMMUNICATION ON THE SITE.
    2. Users acknowledge that they may be liable for anything they communicate using the AllyU bulletin board or any other platform for communication on the Site and are responsible for complying with the requirements of applicable copyright and trademark laws and regulations.
    3. The AllyU Message Board is a forum for individuals to share opinions, experiences, and thoughts related to mental illness and to provide general information without accommodation of endorsement. AllyU wants to ensure the integrity of this service and therefore, use of this service is limited to participants who agree to adhere to the following guidelines:
      • Refrain from transmitting any message, information, data, or text that is unlawful, threatening, abusive, harassing, defamatory, obscene, invasive of another’s privacy, or hateful – especially those aimed at gender, race, color, sexual orientation, national origin, religious views, or disability. AllyU has the right and sole discretion remove or edit a post containing objectionable material.
      • AllyU welcomes respectful exchanging of views and opinions. Name calling, insults, and personal attacks are not appropriate and will not be tolerated. AllyU will remove these posts immediately upon notice.
      • AllyU encourages participants to keep personal information such as address and telephone number from being posted. Similarly, do not ask for personal information from other participants. Message board posts that request participants submit personal information to another party will be removed immediately upon notice unless these posts have been pre-approved by AllyU staff.
      • Opinions, beliefs, and statements posted in this forum do not necessarily represent the opinions and beliefs of AllyU. Participants acknowledge that AllyU is not liable for any loss or injury caused, in whole or in part, by this message board. Participants also agree that AllyU reserves the right to report any suspicions of harm to self or others as evidenced by participant posts.
      • Posting off-topic messages to discussion groups will result in the removal of post/possible suspension of posting privileges.
      • AllyU members or staff who post non-public information on public areas of the Site or off-topic messages in member-only discussion areas may have their posting privileges suspended and will be subject to appropriate corrective action.
  16. Waiver. Users agree that if AllyU does not exercise or enforce any legal right or remedy under this Agreement, it shall not be construed as a waiver of those rights or any other rights. In entering into these Terms, User acknowledges that it does not rely on, and waives any claim for breach of any such warranties which are not so confirmed in addition to any rights indicated in our Privacy Policy.
  17. Governing Law. The laws of the state of Illinois will govern the Agreement, without giving effect to any principles of conflicts of laws.
  18. Venue. This Agreement has been made entirely within the state of Illinois. If any suit or action is filed by any party to enforce this Agreement or otherwise with respect to the subject matter of this Agreement, venue will be in the federal or state courts in Chicago, Illinois.
  19. Disputes. Any dispute relating in any way to your visit to the Site shall be submitted to confidential arbitration in Chicago, Illinois, except that to the extent you have in any manner violated or threatened to violate our intellectual property rights, AllyU may seek injunctive or other appropriate relief in any state or federal court in the State of Illinois. You hereby consent to and waive all defenses of lack of personal jurisdiction and forum non-conveniens with respect to venue and jurisdiction in the state and federal courts of Illinois. Arbitration under these Terms of Use shall be conducted pursuant to the Commercial Arbitration Rules then prevailing at the American Arbitration Association. The arbitrator’s award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. To the fullest extent permitted by applicable law, no arbitration under the Agreement shall be joined to an arbitration involving any other party subject to this Agreement, whether through class action proceedings or otherwise. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of, related to or connected with the use of the Site or the Agreement must be filed within one (1) year after such claim or cause of action arose or be forever banned.
  20. Conflict of Terms. In the event of any conflict between this Agreement and information provided by other portions of Site, this Agreement shall control.
  21. Severability. If any provision of this Agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this Agreement, and shall not affect the validity and enforceability of any remaining provisions.
  22. Notices. All notices, requests, and other communications to AllyU shall be in writing, shall be given to such party at its address set forth below or, where applicable, at the address of its registered agent. Each such notice, request, or other communication shall be deemed to have been duly given (a) as of the date of delivery, if delivered personally, (b) upon the next business day when delivered during normal business hours to a recognized overnight courier service, or (c) on the date of delivery or refusal shown on the receipt therefore if sent by United Stated certified or registered mail, return receipt requested and postage prepaid.
  23. Third Party Providers. The links available on the Site are provided by third parties for a fee, and should only be used for informational purposes. AllyU does not recommend or endorse any specific tests, physicians, therapists, products, procedures, or opinions that may be mentioned within the Site.
